Terms of sale and use

1. Purpose and acceptance

These terms govern access to and use of the AI Fashion Photos service (the “Service”), published by WEGROW, French simplified joint-stock company (SASU) with a share capital of 500 €, registered office at 63 boulevard d’Anvers, 67000 Strasbourg, France, registered with the RCS Strasbourg 944 708 999 (“WEGROW”).

Creating an account and subscribing to a plan constitute unreserved acceptance of these terms. The Service is for professionals only: by creating an account, the customer declares that they act for the purposes of their trade, business, craft or profession (the “Customer”).

2. The Service

AI Fashion Photos is online software that uses artificial intelligence to generate fashion product photos (on a model, flat lay, on a hanger…) from photos supplied by the Customer or imported from their Shopify store.

Use of the Service is counted in credits: one credit is one generated or retouched image. The number of credits needed is shown before every launch.

Every new workspace receives 10 free credits once, with no commitment and no card.

3. Account

The Customer provides accurate information and keeps it up to date, and is responsible for keeping their credentials confidential and for any use made of their account.

4. Plans and prices

The plans offered in the web app are:

Prices are in euros, excluding VAT. The applicable VAT is added at payment and shown on the invoice: French VAT at the current rate for a Customer established in France; reverse charge for a Customer established in another EU member state who gives a valid EU VAT number. WEGROW may change its prices; a change applies to a running subscription only from the following period, after the Customer has been told by email at least 30 days in advance.

When the Service is used from the app embedded in Shopify and billed by Shopify, the prices and billing terms shown by Shopify apply.

5. Payment and renewal

Payment is made by card through the payment provider Stripe. WEGROW stores no card data.

The subscription is monthly and renews automatically on each anniversary date until it is cancelled. The plan’s price is charged at the start of each period.

If a payment fails, no credits are granted for that period and WEGROW may suspend the subscription until it is settled. An invoice is issued for every payment and remains available from “Manage subscription”.

7. Changing plan

The Customer may change plan at any time from the Billing page. An upgrade takes effect immediately: the price difference, prorated over the rest of the period, is invoiced at once, and the difference in credits is granted when it is paid. A downgrade applies to the rest of the subscription; the prorated overpayment is credited against the next invoices, and no extra credits are granted before the renewal.

8. Cancellation

The Customer may cancel at any time, free of charge, from “Manage subscription” on the Billing page. Cancellation takes effect at the end of the current, already paid period; nothing is charged after that.

WEGROW may suspend or close the account of a Customer who seriously breaches these terms, in particular section 10, after a formal notice left unanswered for 8 days, or immediately in case of unlawful use.

9. Refunds

As the Service is for professionals only, the consumer right of withdrawal does not apply. Amounts paid for a period that has started are not refundable.

As an exception, WEGROW refunds any amount charged by mistake (double charge, charge after cancellation) or relating to a period during which the Service was unavailable through its fault. Requests go to contact@chloy-buff.fr.

10. Customer content and acceptable use

The Customer keeps all rights to the images and information they supply, and warrants holding the rights needed for the Service to use them — including, where a person is recognisable, that person’s consent to the commercial use of their image — and holds WEGROW harmless from any third-party claim about them.

The Service must not be used to produce unlawful, misleading, defamatory or sexual content, content infringing the rights of others, or images of a real person without their consent.

11. Generated photos

Subject to these terms, the Customer may use the generated photos freely for their business, with no limit in time or territory. WEGROW assigns to the Customer whatever rights it holds in those photos.

The photos are produced by artificial intelligence: WEGROW does not guarantee that they reproduce the product without any difference, nor that they are exclusive or protectable by copyright. The Customer must check every photo before publishing it, including its faithfulness to the product sold.

12. Availability and liability

WEGROW uses reasonable means to keep the Service available, without guaranteeing uninterrupted access; interruptions may occur, for maintenance or because of its providers.

WEGROW’s liability is limited to direct, proven damage and capped at the amount the Customer paid in the twelve months before the event giving rise to it. WEGROW is not liable for indirect damage such as loss of revenue, customers or data.

13. Personal data

Personal data is processed as described in the privacy policy, linked from the site’s footer.

14. Changes to these terms

WEGROW may change these terms. The Customer is told by email at least 30 days before the change takes effect and may cancel before that date if they do not accept it.

15. Governing law and disputes

These terms are governed by French law. The parties first seek an amicable solution; failing that, the courts of Strasbourg have exclusive jurisdiction.
